Terms of Service

The agreement between BE1st Studio and the people we build websites for.

1. What you're getting

When you sign this agreement, BE1st Studio (“we”, “us”) builds and operates a website for your business (“you”, “your”). The website includes:

• A complete public-facing website (homepage, services, contact, and 15-25 other pages depending on industry)
• Hosting on our infrastructure (Railway + Cloudflare). We pay the hosting bill; you don't see it.
• HTTPS / SSL certificate, kept current.
• Ongoing maintenance: bug fixes, dependency updates, content edits within reason (scoped to your yearly service tier).
• Your own custom domain (yourname.com) — registered and managed as part of year one. The domain is in your name; we manage DNS as part of the service.

2. What it costs

One starting number for year one, then a yearly service fee from year two onward.

• Year one — from $3,000 all-in. One-time, charged when you sign. Covers the full build, ownership of the code and site, your brand setup, the launch, hosting, your domain, SSL, monitoring, and ongoing edits / updates for the first 12 months. Complex builds (multi-location, e-commerce, custom integrations) scope up from there — quoted before you sign so there are no surprises.
• Year two and beyond — yearly service from $1,500. Recurring, charged on the anniversary of your launch. Three levels depending on how much hands-on attention you want: Essential ($1,500/yr), Standard ($2,000/yr), or On-Call ($2,500/yr). Covers hosting, your domain, SSL, monitoring, and ongoing edits scoped to your tier.

You own the site after year one is paid — the build, the code, the design, the content, all of it. The yearly is what keeps it hosted on our infrastructure and keeps us on call. If you cancel the yearly, we hand off the codebase and DNS — no buyout fee — and the site keeps running wherever you host it next.

What "within reason" means by service tier

Essential: copy edits, image swaps, hour changes, small text updates — up to ~6 edits per year. Beyond that we quote separately or you can upgrade your tier.

Standard: regular edits + seasonal updates + small layout tweaks + priority same-day turnaround on most things. Most clients land here.

On-Call: unlimited reasonable edits, fastest turnaround, available when something comes up. The partner tier.

Not included at any tier (quoted separately): new sections built from scratch, integrations with new third-party APIs, custom backend features, e-commerce launches, multi-location rollouts. These are scoped per project so you know exactly what's involved.

3. Who owns what

This part matters. Read it twice.

You own:

• The site itself — the codebase, design, generated content, admin panel, and everything we build for you under the build fee.
• Your business content (copy, photos, customer data, branding).
• Your custom domain (always portable).
• Your customer/contact data — exportable on request.
• Your Stripe Connect account and any payment processing in your name.

BE1st Studio owns:

• The generator engine and platform tooling we use to build sites (not your specific build — that's yours).
• Templates and patterns we developed (not your customized content).
• The hosting + automation pipeline that runs your site while you're on yearly service.

4. Cancellation + Hand-off

You can leave anytime by emailing [email protected] or replying to any of our emails.

• Within 7 days of paying the build fee: full refund, no questions. We delete the work and you walk away clean.
• After 7 days but before launch: we refund the build fee minus the work already completed (typically 30–60% depending on stage).
• After launch: the build is yours regardless — no refund on the build fee because you own what you bought.
• Yearly service: we pro-rate the unused months and refund the rest at any time. Hand-off is included — codebase (GitHub repo), DNS transfer, and documentation. No buyout fee.
• After hand-off: we keep your data on our infrastructure for 30 days as a grace period (in case you change your mind), then delete it. If you ever come back, we re-host without re-paying the build fee.

5. What we promise (uptime, support, response time)

No formal SLA, but here's what to actually expect:

• Uptime: we target 99% uptime (a few hours per month of allowed downtime). The platform sits on Railway + Cloudflare; we don't control their downtime, but we monitor and respond.
• Support response: within 24 hours on weekdays, often within an hour during business hours.
• Edits: typically same-day for text/image swaps. Up to 3 days for layout changes.
• Outages: if our infrastructure is down for more than 48 consecutive hours, we credit you for the affected month.

6. What we don't do (limits + disclaimers)

• We don't sell your data. Ever. Not to ad networks, not to brokers, not to "partners."
• We don't guarantee SEO rankings, conversion rates, or that your site will get traffic. We build well-structured sites; the rest is up to you.
• We don't store credit cards directly — payments are processed by Stripe; we only see the metadata they share.
• We don't provide legal, accounting, tax, medical, or financial advice through the site or this service.
• We're not liable for losses from third-party outages, hacks of services we don't control, or content we didn't write.
• AI-generated content: we use AI tools (including Anthropic's Claude) to draft copy, generate page structure, and assist with images and design. Generated text is a starting point, not a finished document — review it before you publish. We don't warrant factual accuracy of AI-drafted content (claim verification, regulated-industry disclaimers, medical/legal/financial language are your responsibility). You can edit any AI-generated content at any time.

7. Acceptable use

You agree not to use your site to:

• Sell illegal goods or services
• Send spam from the contact forms or mailing system
• Host content that's malicious, deceptive, hateful, or designed to harm
• Violate any law that applies to your business

We'll always reach out before taking action. If we have to terminate for an acceptable-use violation, no refund.

8. Privacy

See our Privacy Policy for details on what data we collect, how we use it, and how we protect it. Short version: we collect what we need to operate your site (analytics, contact form submissions, payment metadata) and nothing more. We never sell or rent your data. You can request a full export or deletion at any time.

9. SMS / Text messaging terms

BE1st Studio runs an optional SMS lead-notification program for the business owners whose sites we operate.

• Program: when you enable text notifications and enter your mobile number in your admin settings, we send you an automated SMS each time your website captures a new lead. Only you — the business owner or staff who opted in — receive these texts. Website visitors and consumers are never texted through this program.
• Opt-in: entering your number and turning on notifications is your consent to receive these texts. Consent is not a condition of any purchase.
• Frequency: varies with lead volume — typically a few messages per week.
• Rates: message and data rates may apply, per your carrier plan.
• Opt-out: reply STOP to unsubscribe at any time; reply HELP for help. You can also remove your number in your admin settings.
• Privacy: mobile numbers are used only to deliver these notifications and are never sold or shared with third parties or affiliates for marketing. See our Privacy Policy.

10. Changes to these terms

If we update these terms, we'll email you 30 days before changes take effect. If you don't agree to the new terms, you can cancel during that 30-day window with a full refund of your current month/year.

11. Disputes

If something goes wrong, email [email protected] first. We will read your email and try to resolve it like reasonable adults. If we can't, this agreement is governed by the laws of the State of Texas, USA. Any formal dispute is heard in Denton County, Texas, by mediation first, then arbitration if mediation fails. No class actions.

12. Identity

BE1st Studio is operated by Gilani Enterprises USA LLC, a Texas limited liability company.

13. Acceptance

By clicking "I agree" on the offer page (or by paying any invoice referencing this agreement), you accept these terms. We capture your acceptance with a timestamp, your IP address, and the version hash of these terms — so we both have a clear record of which version you signed.
